1. Agreement to Terms; Eligibility; Incorporated Policies

These Terms & Conditions ("Terms") are a binding agreement between you and Silk Lifestyle, LLC ("Silk," "we," "us," or "our") governing your access to and use of Silk Lifestyle websites (including silklifestyle.app and silklifestyle.com), the mobile application, memberships, messaging, events, ticketing, and related services (collectively, the "Services").

By creating an account, purchasing a ticket or Paid Service, attending an event, or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility. You must be at least eighteen (18) years of age (or the higher age of majority where you live). Certain events may be restricted to twenty-one (21) or older when marked. You represent that you have legal capacity to enter this agreement.

The following policies are incorporated by reference and form part of these Terms:

Silk's public Law Enforcement Protocols describe how Silk responds to lawful requests; they do not expand your rights under these Terms.

2. Private Membership Club

a. Private Club Status. Silk Lifestyle is a private, invite-only membership club and curated events community. Silk Lifestyle is NOT a public accommodation, public facility, or place of public entertainment. Silk operates exclusively as a private social club and private membership organization. All events, gatherings, and activities organized or hosted by Silk are private functions held exclusively for approved members and their authorized guests.

b. Membership by Invitation Only. Membership is granted solely by private invitation and at the absolute and sole discretion of the Organizers. Submitting an application does not guarantee membership or admission to any event. The Organizers reserve the unconditional right to accept, deny, revoke, or terminate any membership or application for any reason, or for no reason, at any time, without obligation to provide an explanation.

c. No Public Right of Access. No individual has any right, entitlement, or expectation of membership, admission, or access to any Silk Lifestyle event, service, or platform. Access is a private privilege extended exclusively to approved members and is not open to the general public.

d. Membership Obligations. By accepting membership, you agree to abide by all rules, policies, codes of conduct, and terms established by Silk Lifestyle, including the Acceptable Use Policy. Violation may result in immediate termination and permanent exclusion from future events and services, without refund.

BY SUBMITTING AN APPLICATION OR ACCEPTING MEMBERSHIP, YOU ACKNOWLEDGE AND AGREE THAT SILK LIFESTYLE IS A PRIVATE MEMBERSHIP CLUB, THAT MEMBERSHIP IS GRANTED BY INVITATION ONLY, AND THAT YOU HAVE NO PUBLIC RIGHT OF ACCESS TO ANY SILK LIFESTYLE EVENT, SERVICE, OR PLATFORM.

3. Your Account

You agree to provide complete and accurate information when you register and to keep it current. You are solely responsible for activity under your account and for keeping your credentials secure. Do not share your account to evade enforcement or to provide unauthorized paid access.

These Terms shall be construed in accordance with applicable U.S. and Florida law as set forth in Section 12. The waiver of any provision shall not be a waiver of any other provision. If any provision is found unenforceable, the remainder remains in effect.

We may modify these Terms from time to time. The "Last updated" date will change when we do. Your continued use of the Services after changes are posted constitutes acceptance where permitted by law.

4. Acceptable Use and Prohibited Conduct

Your use of the Services must comply with these Terms and the Acceptable Use Policy. Silk does not operate as an adult-content marketplace, escort service, or pornography service.

Without limiting the AUP, you must not:

  • Engage in, promote, or facilitate human trafficking, sex trafficking, or sexual exploitation of any person;
  • Aid, abet, encourage, solicit, or otherwise facilitate abuse, exploitation, or trafficking;
  • Engage in child sexual abuse or exploitation, or create, share, or seek CSAM (see Child Safety Standards);
  • Share or solicit non-consensual intimate imagery, or facilitate sexual violence;
  • Advertise, arrange, solicit, or broker prostitution, escorting, or other illegal commercial sex;
  • Use the Services for fraud, scams, phishing, identity theft, or other schemes intended to defraud users or Silk;
  • Use the Services for any unlawful purpose, to publish illegal content, or in furtherance of illegal activities; or
  • Infringe or misappropriate the intellectual property or other rights of any third party.

Violation may result in immediate termination, ticket voidance, removal from events, permanent ban, and referral to law enforcement, without refund.

5. Fees, Payment, and Renewal

a.Some Services are offered for a fee ("Paid Services"). By purchasing a Paid Service, you agree to pay the specified fees. Fees may be one-time, recurring, or otherwise as disclosed at purchase. Published membership rates appear on our Pricing page. For recurring fees, we (or the applicable app store) will bill in automatically renewing intervals on a pre-pay basis until you cancel through the applicable channel.

b. If payment fails or Paid Services are not paid on time, we may immediately cancel or revoke access to the Paid Services.

c. We may change fees prospectively, or start charging for Services that were previously free. When applicable, we may give advance notice. If you do not agree, you must cancel the Paid Service before the change takes effect.

d. No refunds. Except as required by applicable law or by Apple App Store / Google Play rules for purchases those stores bill, all sales are final and no refunds are provided, as set forth in the Refund Policy. Cancellation of auto-renewal stops future charges but does not entitle you to a refund of amounts already paid.

6. Ticket Categories and Event Admission

a. Curated Event Experience. Silk Lifestyle events are private, curated experiences. To preserve atmosphere, guest balance, safety, and quality, the Organizers maintain full and sole discretion over event admission, including ticket categories, pricing tiers, and guest classification.

b. Ticket Category Assignment.Ticket and pricing categories (e.g., Couple, Single Female, Single Male, Throuple) are determined exclusively by the Organizers. An applicant's self-selected preference does not guarantee that category or price.

c. Right to Reclassify.The Organizers may reclassify a guest's ticket category before or during an event if, in their sole judgment, reclassification serves event curation. The guest is responsible for any resulting price difference. Failure to pay may result in cancellation of admission without refund.

d. Admission Is a Privilege. Attendance is a privilege, not a right. The Organizers may approve, deny, or revoke any application or admission for any reason, at any time, without explanation. Admission decisions are final and do not create a refund right under the Refund Policy.

e. Accurate Information. You represent that all application information is truthful and accurate. False, misleading, or incomplete information — including misrepresenting eligibility for a ticket category to obtain a lower price — is a material breach and grounds for immediate revocation of your ticket, removal without refund, and a permanent ban.

7. Assumption of Risk and Personal Responsibility

By accessing the Services, attending any Silk Lifestyle event, or participating in any activity organized, hosted, or facilitated by Silk Lifestyle or its organizers, affiliates, partners, agents, employees, volunteers, contractors, or representatives (collectively, the "Organizers"), you voluntarily assume full responsibility for all risks, known or unknown, arising from your use of the Services and/or attendance at any event.

Events may involve inherent risks including crowded environments, loud music, special effects (such as strobe lighting, fog machines, and pyrotechnics), consumption of food and beverages (including alcohol), physical activity, interactions with other attendees, and environmental conditions. You accept sole responsibility for any injury, illness, damage, loss, cost, expense, or liability arising from your participation, regardless of cause.

You expressly agree that you attend all Silk Lifestyle events and use all Services entirely at your own risk and that Silk Lifestyle and its Organizers bear no responsibility or liability whatsoever for your safety, well-being, property, or any other matter, to the fullest extent permitted by law.

8. Waiver of Right to Sue and Release of Claims

BY AGREEING TO THESE TERMS, YOU VOLUNTARILY AND IRREVOCABLY WAIVE ANY AND ALL RIGHT TO SUE, BRING LEGAL ACTION, FILE CLAIMS, OR INITIATE ANY LEGAL PROCEEDINGS OF ANY KIND AGAINST SILK LIFESTYLE, ITS ORGANIZERS, OWNERS, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, PARTNERS, VOLUNTEERS, VENUE OWNERS, VENDORS, SPONSORS, AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE "RELEASED PARTIES"), TO THE FULLEST EXTENT PERMITTED BY LAW.

To the fullest extent permitted by applicable law, you release, waive, discharge, and covenant not to sue the Released Parties from and against any and all liability, claims, demands, actions, causes of action, suits, damages, judgments, costs, expenses (including attorneys' fees), and other obligations whatsoever, whether arising in tort, contract, strict liability, statutory liability, or otherwise, that arise out of, result from, or relate in any way to:

  • Your use of any Silk Lifestyle Service, website, or platform;
  • Your attendance at, participation in, or travel to or from any Silk Lifestyle event;
  • Any interaction, encounter, or communication with other attendees, guests, staff, or third parties;
  • Any personal injury, bodily harm, emotional distress, illness, or death;
  • Any loss, theft, or damage to personal property;
  • Any act, omission, negligence, or misconduct by any party, including the Released Parties;
  • Any food, beverage, or substance consumed at any event; and
  • Any decisions made by Silk Lifestyle regarding your application, membership, or attendance status.

This release and waiver is intended to be as broad and inclusive as permitted by applicable law. If any portion is held invalid, the remainder shall continue in full force and effect.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILK LIFESTYLE OR ANY OF THE RELEASED PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree that the Released Parties shall not be held responsible or liable for any injury, damage, loss, cost, or expense of any kind arising from or related to your use of our Services or attendance at any event, including but not limited to personal injury, property damage, emotional distress, financial loss, or any other harm, howsoever caused.

In any event, the total aggregate liability of Silk Lifestyle and the Released Parties for all claims arising out of or relating to these Terms or your use of our Services shall not exceed the amount you paid to Silk Lifestyle in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100.00), whichever is less.

10. Indemnification

You agree to defend, indemnify, and hold harmless Silk Lifestyle and all Released Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorneys' fees and court costs) arising from or related to: your use of and access to our Services; your attendance at or participation in any event; your violation of these Terms or the AUP; your violation of any third-party right; any claim that your actions caused damage to a third party; or your own negligent, reckless, or intentional misconduct. This obligation survives termination of these Terms and your use of the Services.

11. Third-Party Services and App Stores

The Services may interoperate with third-party providers (including payment processors such as Stripe, and Apple App Store or Google Play for in-app purchases). Your use of those services may be subject to their terms. Refunds for purchases billed by Apple or Google, if any, are governed by those stores' rules as described in our Refund Policy.

12. Dispute Resolution and Governing Law

a. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

b. Mandatory Arbitration.Any dispute, claim, or controversy arising out of or relating to these Terms, your use of our Services, or your attendance at any event shall be resolved exclusively through binding arbitration administered in the State of Florida, in accordance with the rules of the American Arbitration Association then in effect. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

c. Class Action Waiver. YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST SILK LIFESTYLE OR ANY RELEASED PARTIES.

d. Limitation Period. Any claim or cause of action arising out of or related to these Terms or your use of our Services must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

13. Termination; Survival

Silk may suspend or terminate your access to the Services at any time, including for violation of these Terms or the AUP, or for any reason consistent with private-club discretion. Provisions that by their nature should survive (including fees owed, no-refund terms, releases, limitations of liability, indemnification, and dispute resolution) survive termination.

14. Acknowledgment

BY USING OUR SERVICES, PURCHASING A TICKET OR PAID SERVICE, ATTENDING AN EVENT, OR CREATING AN ACCOUNT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THESE TERMS AND CONDITIONS, INCLUDING THE ACCEPTABLE USE POLICY AND THE NO-REFUND POLICY. YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE SILK LIFESTYLE AND ITS ORGANIZERS, TO THE GREATEST EXTENT ALLOWED BY LAW.
