1. Introduction and Acceptance

Welcome to Silk Lifestyle ("Silk," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Silk Lifestyle LLC governing your access to and use of the Silk Lifestyle mobile application, website located at silklifestyle.app, and all related services, features, content, and applications (collectively, the "Platform").

BY ACCESSING, BROWSING, OR USING THE PLATFORM, INCLUDING JOINING OUR WAITLIST, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE PLATFORM.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform. Your continued use of the Platform following any changes constitutes acceptance of the revised Terms.

2. Eligibility Requirements

To use the Platform, you must:

• Be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is higher;
• Have the legal capacity to enter into a binding contract;
• Not be a person barred from receiving services under the laws of the United States or other applicable jurisdiction;
• Not have been previously suspended or removed from the Platform;
• Not be a registered sex offender in any jurisdiction;
• Comply with all applicable local, state, national, and international laws and regulations.

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your age and identity at any time and may terminate your account if we determine that you do not meet these requirements.

3. Account Registration and Security

3.1 Registration. To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 One Account Per User. Each user may maintain only one account. Creating multiple accounts is prohibited and may result in termination of all associated accounts.

3.4 Email Verification. You must verify your email address to fully activate your account and access all Platform features. Unverified accounts may have limited functionality.

4. Platform Description and Services

4.1 Nature of Services. Silk Lifestyle is a luxury dating and lifestyle platform designed for adults seeking meaningful connections and experiences. The Platform facilitates introductions between users but does not guarantee any particular outcome or match.

4.2 Private Community. Silk Lifestyle is a private, invite-only community. We reserve the sole and absolute discretion to accept, reject, or terminate any user's access to the Platform without cause or explanation.

4.3 AI-Powered Features. The Platform utilizes artificial intelligence and machine learning algorithms ("SilkSense AI") to enhance user experience, including but not limited to matching, content curation, and event recommendations. These features are provided "as is" and results may vary.

4.4 Events. Silk Lifestyle may organize or facilitate in-person and virtual events. Participation in such events is subject to additional terms and conditions that will be provided at the time of registration.

5. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Providing false, misleading, or fraudulent information;
• Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity;
• Harassing, threatening, stalking, intimidating, or abusing any other user;
• Posting or transmitting content that is unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable;
• Soliciting money or other financial benefits from other users;
• Engaging in commercial activities or advertising without our express written consent;
• Using automated systems, bots, or scripts to access the Platform;
• Attempting to circumvent any security features of the Platform;
• Collecting, harvesting, or storing personal data about other users;
• Violating any applicable law, regulation, or third-party rights;
• Engaging in any activity that could harm the reputation or integrity of the Platform.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including reporting such violations to law enforcement authorities.

6. Waitlist and Referral Program

6.1 Waitlist. By joining the Silk Lifestyle waitlist, you are expressing interest in accessing the Platform when it becomes available. Waitlist position does not guarantee access to the Platform, and we reserve the right to modify, suspend, or terminate the waitlist at any time.

6.2 Referral Program. Our referral program allows users to earn rewards by referring new users. Referral rewards are subject to the following conditions:

• Referrals must be genuine individuals who independently choose to join;
• Self-referrals, fake referrals, or referrals obtained through fraud are prohibited;
• Referred users must complete email verification for the referral to count;
• Rewards are subject to verification and may be revoked if fraudulent activity is detected;
• We reserve the right to modify or terminate the referral program at any time.

6.3 Reward Fulfillment. Referral rewards will be fulfilled upon official app launch, subject to verification. Reward tiers and values are subject to change at our discretion.

7. Intellectual Property Rights

7.1 Platform Content. The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Silk Lifestyle, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use only.

7.3 User Content. You retain ownership of content you create and submit to the Platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Platform.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy, which is incorporated into these Terms by reference, to understand how we collect, use, and protect your personal information.

9. Disclaimers and Limitations of Liability

9.1 AS IS/AS AVAILABLE. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 User Interactions. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER. YOU ASSUME ALL RISKS WHEN USING THE PLATFORM, INCLUDING RISKS ASSOCIATED WITH ANY ONLINE OR OFFLINE INTERACTIONS WITH OTHER USERS.

9.3 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILK LIFESTYLE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.4 Maximum Liability. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Silk Lifestyle, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including any User Content you submit, post, or transmit through the Platform.

11. Dispute Resolution and Arbitration

11.1 Arbitration Agreement. You and Silk Lifestyle agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration, rather than in court, except that (1) you may assert claims in small claims court if your claims qualify; and (2) you or Silk Lifestyle may seek equitable relief in court for infringement or other misuse of intellectual property rights.

11.2 Class Action Waiver. YOU AND SILK LIFESTYLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.3 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

12. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. General Provisions

13.1 Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and Silk Lifestyle concerning the Platform.

13.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

13.3 Waiver. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
